LAWYERS ARE NEEDED IN A BOUTIQUE LAW FIRM

CAREER OPPORTUNITIES FOR 2 (TWO) EXPERIENCED LAWYERS

A BOUTIQUE LAW FIRM THAT SPECIALISES ALONG THREE SERVICE LINES- PPP & INFRASTRUCTURE; IP SERVICES AND CORPORATE SERVICES REQUIRES TWO EXCEPTIONALLY TALENTED LAWYERS TO STEER THE FOLLOWING DEPARTMENTS:

(1)   PPP & INFRASTRUCTURE

(2)  CORPORATE SERVICES.

Successful candidates are to be primarily based in Abuja and must exhibit capability to lead the departments and harvest opportunities into transactions.

PPP & INFRASTRUCTURE

Principal Duties and Responsibilities

  • Steer transaction and commercial advisory work on all aspects relating to PPP & Infrastructure especially the research, opinions and negotiations that arise with focus on the electric power sector;
  • Have a detailed knowledge of the applicable laws governing PPP and Infrastructure for utilities especially electric power.
  • Ability to droll and/or review standard Project Documents to ensure bankability, balanced risk allocation and alignment with the Agreements.
  • Ability to lead negotiations pertaining to the Agreements especially technical and commercial aspects of agreements in the electric power sector
  • Develop and manage the roll out of an open, competitive bidding process while providing guidance on the preparation of drafts of the relevant Expression of Interest (Eol) and Request for Proposal (RfP) documentation packages, design evaluation criteria and metric in close cooperation with stakeholders;
  • Steer the performance of legal and reputational Due Diligence verification for validity on all documents submitted in relation to the Project Documents.

Qualifications, Experience and Competencies:

  • Low degree with minimum of 10 years post call experience of which at least 5 consecutive years has been in front end transactions representing clients and directly involved in negotiations, research, issuing Opinions and turn-around of agreements
  • Master’s degree with focus on Project finance and Electric power in particular will be an added advantage.
  • Knowledge of project Finance within the PPP & Infrastructure space with a focus on the power industry.

CORPORATE SERVICES

Principal Duties and Responsibilities

  • Grow the deportment including proffering advisory services to start ups, established entities and foreign entities desirous of setting up in Nigeria
  • Provide advice and guidance Clients towards ensuring their compliance with applicable corporate regulation, legislation, and governance procedures, policies and manuals and provide legal support and advice to other departments and functional areas of the Firm.
  • Ensure that Clients’ key statutory books and records are kept up to date and assist with the preparation of documents for filing with regulatory bodies and other relevant authorities including the filing of statutory returns with CAC and the Financial Reporting Council of Nigeria (FRCN), within the correct timescales.

Assist in developing and managing the Clients’ Company Secretariat budget.

  • Undertake legal research associated with assignments, lead the development of legal opinions on various issues as may be required, and lead the preparation of departmental presentations.
  • Undertake legal due diligence on behalf of Clients, including integrity assessment and develop and submit legal due diligence reports.
  • Provide Support services to Clients boards in scheduling, preparing for and managing meetings including Board Meetings, Board Committee Meetings and General Meetings, managing correspondence with Board members in between meetings and following up on agreed actions arising from Meetings.
  • Advising Clients’ Boards on various legal issues as may be required and lead the preparation of the Board quarterly updates.
  • Manage the development of contracts required by the Clients including the negotiation and drafting of required agreements, non-disclosure agreements, procurement contracts, service agreements and consultancy agreements.
  • Provision of legal support on transactions advisory, by crafting legal solutions and developing agreements required to implement the transactions.
  • Advisory support on dispute resolution mechanism.

Qualifications, Experience and Competencies:

  • Ten (10) years post-call experience in relation to the Principal Duties and Responsibilities. Relevant masters degree will be an added advantage
  • Qualified member of the Institute of Chartered Secretaries and Administrators (ICSA) unless the qualifications and experience of the candidate are considered sufficient for the role.
  • Working knowledge in relation to corporate governance and company secretariat matters, and regulatory and Company Act requirements, including an understanding of the requirements of the Company and Applied Matters Act, Cap C20, Laws of the Federation of Nigeria (LFN) 2004.
  • Understanding of the commercial context of legal advisory work in a regulated business environment, and an ability to quickly distil legal and contractual issues and pragmatically craft legally sound solutions to complex corporate/commercial problems and issues in a timely manner.
  • Experience of working in a sensitive, highly pressurised and confidential environment
  • Excellent organization, presentation, written and oral communication skills are a necessity, as is an attention to detail, the ability to use initiative and prioritize and manage your own workload, and a commitment to client satisfaction – you must have a positive attitude, be self-motivated and focused, able to work with a minimum amount of supervision and able to provide a high level of support to senior management and comfortable working autonomously with a range of external stakeholders.
  • Excellent PC skills, including Word, Excel, PowerPoint and Outlook.
  • Excellent leadership ability, capacity to work in and provide leadership in a team and strong inter-personal skills.
  • Flexible approach to duties, a willingness to undertake a variety of important tasks and an ability to develop within an ever-changing environment to meet Clients unique needs Strong commitment to promoting the highest possible professional standards and conforming to the professional ethics for legal practitioners.
